Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Kbixy ("Kbixy," "we," "us," or "our"), governing your access to and use of the Kbixy platform, websites, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Description of Service

Kbixy is an AI-powered knowledge base platform that allows teams to create, organize, search, and share internal or public documentation. Features include AI-assisted drafting, semantic search, video recording with transcription, custom branding, team management, and analytics.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Material changes affecting paid plans will be communicated with reasonable notice.

3. Account Registration

To use the Service, you must:

  • Be at least 16 years old (or the age of digital consent in your jurisdiction)
  • Provide accurate, complete information during registration
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access at support@kbixy.com

You are responsible for all activity that occurs under your account.

4. Subscription Plans and Payment

4.1 Plans

Kbixy offers a Free plan and paid plans (Plus, Pro). Features and limits for each plan are described at https://kbixy.com/#pricing.

4.2 Billing

Paid plans are billed monthly or annually in advance through our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can cancel anytime from your account settings.

4.4 Refunds

All payments are non-refundable except as required by law. If you cancel mid-cycle, you retain access until the end of the paid period; no prorated refunds are issued.

4.5 Price Changes

We may change pricing with at least 30 days' notice. Price changes apply at your next renewal.

4.6 Taxes

Prices do not include taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.

[REVIEW] Confirm with counsel: FL state sales tax obligations on SaaS, EU VAT registration thresholds, and any state-specific auto-renewal disclosure requirements (CA, NY).

5. AI Credits and Usage Limits

Paid plans include a monthly allotment of AI credits and, on Pro, transcription minutes. Unused credits do not roll over. If you exceed plan limits:

  • Some features may be temporarily unavailable until the next billing cycle
  • You may upgrade your plan at any time
  • Overage fees may apply for transcription minutes beyond included amounts (charged at our standard overage rates, communicated in advance)

6. Your Content

6.1 Ownership

You retain all ownership rights to the content you upload, create, or generate using the Service ("Customer Content"), including articles, videos, files, and AI-generated drafts based on your inputs.

6.2 License to Kbixy

You grant Kbixy a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your Customer Content solely as necessary to provide the Service to you and your team.

6.3 Your Responsibility

You are solely responsible for your Customer Content and represent that:

  • You own it or have all necessary rights and permissions
  • It does not violate any law or third-party right (including intellectual property, privacy, or publicity rights)
  • It is not unlawful, defamatory, harassing, obscene, or otherwise objectionable

6.4 AI-Generated Content

Outputs generated by AI features are based on your inputs and our sub-processors' models. You are responsible for reviewing AI-generated content before publishing or relying on it. We do not guarantee the accuracy, completeness, or appropriateness of AI outputs.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload viruses, malware, or malicious code
  • Attempt to gain unauthorized access to other accounts or our infrastructure
  • Reverse-engineer, decompile, or scrape the Service
  • Use the Service to send spam or unsolicited communications
  • Resell, rent, or sublicense the Service without our written consent
  • Upload content that infringes third-party rights or violates applicable laws
  • Use the Service to train competing AI models or knowledge management products
  • Exceed reasonable usage that degrades performance for other customers

We may suspend or terminate accounts that violate these rules, with or without notice.

8. Intellectual Property

The Service, including all software, design, branding, documentation, and underlying technology, is owned by Kbixy and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

The names "Kbixy," our logo, and related marks are trademarks of Kbixy. You may not use them without our prior written consent.

9. Third-Party Services

The Service integrates with third-party services (AI providers, payment processors, hosting). Your use of those services is subject to their own terms. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described there.

11. Termination

11.1 By You

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your account if you:

  • Materially breach these Terms
  • Fail to pay fees when due
  • Engage in unlawful or abusive conduct
  • Pose a security risk to the Service or other customers

11.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. We will retain your data for 30 days, after which it will be permanently deleted unless legally required to retain it. You can export your content during the active subscription period.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR ALWAYS AVAILABLE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR APPROPRIATE FOR YOUR USE CASE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KBIXY AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Kbixy from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your Customer Content; your use or misuse of the Service; your violation of these Terms or any law; or your violation of any third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the exclusive jurisdiction and venue of those courts.

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kbixy regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver: Our failure to enforce any right is not a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
